1. ________ I would like to join NCP Miracle II (hereinafter "Company") and order the Business Builder's Package #90. This package includes the annual membership fee of $17.00, Information Package, and Video Tape.

INDEPENDENT CONTRACTOR AGREEMENT
1. Independent Contractor states that he/she is of legal age in the state in which he/she enters this agreement.
2. Independent Contractor shall have the right to sell the products and services offered in accordance with NCP Miracle II (hereinafter "Company") policies and procedures which may be amended and changed from time to time.
3. Independent Contractor will represent Company products in a sincere and honest manner and will honor the Company product satisfaction guarantee. Help other Independent Contractors to be successful. Be professional, courteous and considerate. Represent the Company Marketing Plan as prescribed by Company literature. Become familiar with and utilize sales techniques, Marketing Plan and other materials as prescribed by the Company. Study the product literature and attend training classes. Provide training and motivation to other Independent Contractors.
4. Independent Contractor will not for any reason incur any debt, expense or obligation on behalf of or for the Company.
5. Independent Contractor will not for any reason act as a spokesperson for the Company or Company products in any way to any media or publication.
6. Independent Contractor shall not distribute literature or materials representing Company or its products other than those which are provided by Company and listed on the Company Price List.
7. Independent Contractor shall be entitled to cancel participation in the marketing program at any time and for any reason upon notice to the Company in writing.
8. This agreement shall continue so long as Independent Contractor continues to accept bonuses from the Company or until this agreement is terminated in writing by Independent Contractor or by the Company. The Company shall not cancel this agreement except upon violation by Independent Contractor of any policies or terms of this agreement.
9. I understand that I am an Independent Contractor; not an agent, employee or franchisee of the Company. I further understand and agree that I will not be treated as an employee with respect to such services for federal or state tax purposes. Nor will I be treated as an employee for purposes of the Federal Unemployment Tax Act, Federal Insurance Contributions Act, Social Security Act, State Unemployment Act, or State Employment Security Act. I understand and agree to pay all applicable federal and state self-employment taxes, sales taxes, local taxes and/or local license fees that may become due as a result of my activities under this agreement.
10. I understand that the acceptance of this Application does not constitute the sale of a franchise or a distributorship, and that there are no exclusive territories granted to anyone, and that no franchise fees have been paid, nor am I acquiring any interest in a security by the acceptance of this agreement.
11. Upon notification to Independent Contractor, the Company, at its discretion, may amend the Marketing Plan and Compensation Plan, statement of policies and procedures, and/or terms of the Independent Contractor Agreement.
12. I understand that I shall not be considered an Independent Contractor and that this agreement is not in effect until Company has accepted this agreement.
13. The Company makes no claims or warranties of any kind, including, but not limited to, any claims for earnings, medical or health benefits concerning their products other than those included in the Company's written literature. Independent Contractor shall not make claims of earnings or warranties of any kind. Independent Contractor shall not make product claims or medical claims which are not expressly stated in official Company literature and shall not create his/her own literature.
14. This Independent Contractor Agreement cannot be sold, assigned or transferred without prior written approval from the Company.
15. Independent Contractor has carefully reviewed the Company Marketing Plan and statement of policies, rules of ethics and other marketing plan literature and acknowledges that they are incorporated herein in their entirety and as modified from time to time by Company.
16. Violation of any of the terms of this agreement by Independent Contractor may result in cancellation of this agreement.
17. This agreement constitutes the entire agreement between Independent Contractor and Company and no other additional promises, representations, guaranties or agreements of any kind shall be valid unless in writing.
18. If any provision herein is held to be invalid, all other provisions shall remain valid.
19. The term of this agreement is for one year. I understand that I must apply for and renew this agreement on each annual anniversary date of the acceptance of this agreement. The renewal fee shall be $17.00 per year.
